Terms and Conditions
This user agreement applies to all users of Extend as of August 1, 2017. This agreement is a contract between you and Extend Enterprises, Inc. and governs your use of Extend, a mobile application.
As used in this agreement, the following terms are defined as follows:
- "Credit Card Account” refers to the account at one of our participating financial institutions that a Cardholder may have registered with Extend.
- "Cardholder” refers to a user of Extend who has registered a Credit Card Account in Extend.
- "Recipient” refers to a user of Extend who is receiving a Virtual Card.
- "Virtual Card” refers to a credit card number and associated information (such as the security code, expiration date and billing address), and Virtual Card Parameters.
- "Virtual Card Parameters” refer to the parameters that are available to a user by which a Cardholder can limit the usage of a Virtual Card. These parameters include the maximum amount of spend authorized by a Cardholder on a Virtual Card and the start and end dates a Cardholder has set on such Virtual Card during which the Virtual Card can be used to make payments.
Our services are separate from the other services you may need to operate our services, such as services provided by your mobile device maker, your telecommunication provider, your employer or other company that is requesting you to use our service, or the financial institution providing the Credit Card Account that a Cardholder may register in Extend. We have no responsibility with respect to these third parties and any services they provide to you. It is your responsibility to ensure that your use of our services is allowed under your agreement with any such third parties, and you will be responsible for any fees or other charges that you may incur in connection with those third party services.
In order to use Extend, you must first create an account with us, which requires your first name, last name, a valid phone number, a valid email address, and the creation of a password. Users of Extend can be either a Cardholder, a Recipient, or both. To be able to send a Virtual Card, a user must first register a Credit Card Account that is eligible for Virtual Card creation, and provide the billing address associated with that Credit Card Account. That Cardholder will be solely responsible for all Virtual Cards associated with the Credit Card Account, the Virtual Card Parameters of each Virtual Card, and any Recipients with access to such Virtual Cards.
Your access to and use of Extend is at our sole discretion. We reserve the right to interrupt, block or terminate your access to our application and services at any time for any reason. If we take these actions against you, you will no longer have access to Extend.
Extend does not process any Credit Card Account purchase transactions. You are solely responsible for using the Virtual Card information made available to you or sent by you through Extend, in a manner that complies with the terms and conditions governing the Credit Card Account and any applicable laws or regulations.
You are responsible for maintaining adequate security and control of the user ID and password that you create to establish your account with us.
You will be fully responsible for all activity originating from your user account and password. YOU SOLELY TAKE ON THE RISK OF ANY FRAUDULENT, UNAUTHORIZED OR OTHERWISE IMPROPER ACTIVITY THAT MAY RESULT FROM USE OF OUR SERVICES THAT ORIGINATE FROM YOUR ACCOUNT, INCLUDING, WITHOUT LIMITATION, ANY VIRTUAL CARD CREATION, ANY VIRTUAL CARD PARAMETERS, AND ANY RECIPIENTS WHO GAIN ACCESS TO VIRTUAL CARDS ASSOCIATED WITH YOUR CREDIT CARD ACCOUNT WHETHER AUTHORIZED BY YOU.
We grant you a revocable, non-exclusive, non-sublicensable, non-transferable, royalty-free limited license to access or use our software and application, including any subsequent updates or upgrades. You agree not to modify, alter, tamper with, repair, copy, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt to create any source code that is derived from any software in our services.
Credit Card Account and Virtual Card information sent through Extend will be transmitted in compliance with the Payment Card Industry Data Security Standards, or PCI-DSS.
We may make changes to this user agreement at any time by providing you with a copy of the revised agreement and notice of the date when such changes will take effect. Your continued use of the service after the effective date of the new terms will constitute your acceptance of such changes.Â If you do not agree to the new terms, you should discontinue use of our service prior to the effective date of the revised agreement.
You are responsible for providing and maintaining with us an updated and valid email address, which we will use to contact you for any important updates to our services, including changes to this user agreement. You agree that receipt of any communication sent from us to you by email will be deemed received by you 24 hours after we send the email to you.
We may terminate this user agreement between us and you at any time for any reason upon notice to you.
You may close your account with us at anytime by notifying us by email of your decision to terminate your account with us.
The fees for use of Extend by a Cardholder are as follows: 0.50% of the total amount of the transactions incurred on that Cardholder's Credit Card Account registered with Extend, with respect to all Virtual Cards in Extend associated with such Credit Card Account, in aggregate. Fees will be billed to the Cardholder on a monthly basis. As of August 1, 2017, these fees for use of Extend by a Cardholder are waived until further notice to you.
There are no fees for the use of Extend by a Recipient.
Your use of our services is at your own risk.
We will not be liable to you for any of the following: your use of, or your inability to use, our services; any delays, errors, or disruptions in our services; any viruses or other malicious software; and any action of any third parties, including the financial institution providing the Credit Card Account used with Extend. Actions taken by third parties for which we will not be liable may include, but are not limited to, declined Virtual Card transactions and declined requests for creation of a Virtual Card.
To the extent we are found liable to you under this agreement, our liability will not exceed the total amount of fees paid by you to us in the preceding 12-month period for use of our services, or $100, whichever is greater, unless otherwise prohibited by applicable law.
IN NO EVENT WILL EXTEND ENTERPRISES, INC., ITS AFFILIATES, OR ITS DIRECTORS, OFFICERS, AGENTS OR EMPLOYEES BE LIABLE FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION FOR BREACHES OF PRIVACY, FOR ANY DATA LOSS OR FOR LOSS OF BUSINESS) ARISING OUT OF OR IN CONNECTION WITH THIS USER AGREEMENT OR OUR SERVICES, UNLESS AND TO THE EXTENT PROHIBITED BY LAW.
Our services are provided to you "as is", without any representation or warranty of any kind, whether expressed or implied, including implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.
You agree to indemnify and hold harmless Extend Enterprises, Inc., its affiliates, and its directors, officers, agents, and employees, for any actions, claims or demands, including attorney&rquo;s fees, arising in connection with this user agreement or our services due to your use of our services, a breach of this user agreement by you, improper or unauthorized use of your account by a third party, or your violation of any laws or regulations or the rights of any third party.
Extend owns all right, title, and interest in and to our services and all content in connection with our services, including any trademarks, patents, data, logos, technology, software, and applications.
This user agreement is governed under the laws of the State of New York without regard to any conflict of law principles.
Our failure to act with respect to a breach of any of your obligations under this user agreement does not waive our right to act with respect to subsequent or similar breaches.
You may not transfer or assign any rights or obligations you have under this user agreement.Â We may transfer or assign this user agreement or any right or obligation under this user agreement at any time.
Any provision of this user agreement that a court deems to be invalid will have no effect on the validity of any of the other provisions of this user agreement.
Terms in this user agreement which by their nature are continuing shall survive even after termination of this user agreement, including the terms covering indemnification and our limitation of liability.
What personal information do we collect from you on our website or our mobile application?
When first opening an account with us, we will ask you to enter your first name, last name, a valid phone number, a valid email address, and the creation of a password. If you register a Credit Card Account with Extend, we will ask you for your Credit Card Account information including the billing address associated with that account, and may display some of that information in the Extend app. Also, each time you request to create or use a Virtual Card, the Virtual Card information will be displayed in the Extend app.
When do we collect information?
We collect information from you and from the financial institution that issued the Credit Card Account when you register on Extend, enter information on Extend, or use a Virtual Card to make transactions.
How do we use your information?
We may use the information we collect from you when you register, transact, or use certain other application features in the following ways:
- To improve our mobile application in order to better serve you.
- To allow us to better service you in responding to your customer service requests.
- To quickly execute your requests to send or receive Credit Card Account information through Extend.
- To ask for ratings and reviews of our services.
How do we protect your information?
Your personal information is encrypted in transit to our mobile application via Secure Socket Layer (SSL) technology. All data is encrypted on the Extend database and is PCI compliant.
We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information unless we provide you with prior notice. This does not include third parties who assist us in operating our mobile application, conducting our business, or serving our users, so long as those parties agree to keep this information confidential. We may also release information when required to comply with the law.
We may use, or provide to third parties, non-personally identifiable information that we collect about our users and their transactions.
